End-User License Agreement

End-User License Agreement (EULA)

This EULA is a legal agreement (“Agreement”) between ProctorU and you, either an individual or a single entity (“you” or “Licensee”). This Agreement covers any and all materials accessible through the ProctorU Marketing Toolkit Higher Education Edition (hereinafter “Content”), and which has been provided to Licensee without payment of any fees or costs.

Assent to Be Bound

By downloading or otherwise using this Content, you agree to be bound by the terms of this Agreement. If you do not agree with any term or condition, you are not authorized to download or otherwise use this Content and/or for promotional purposes. By providing feedback, you consent to ProctorU’s use of the feedback for any purpose.

Feedback from Licensee

You may be asked to provide ProctorU with feedback regarding the Content, its usability and usefulness. ProctorU will greatly appreciate any feedback given, and may or may not incorporate the feedback into the Content.

Grant of License

Subject to the terms and conditions of the Agreement, ProctorU grants to you a non-exclusive, non-transferable license (without the right to sublicense) (i) to use the Content for the sole purpose of promoting and/or explaining the use of ProctorU among students, candidates, and/or test-takers, (ii) to download and copy the Content for use, provided that all titles and trademarks and copyright notices are reproduced on such copies, and (iv) to edit any portion of the Content with the EXCEPTION OF THE PROCTORU BRAND MARK.

RESTRICTIONS OF GRANT

YOU MAY NOT (i) REMOVE TITLES, TRADEMARKS, AND COPYRIGHTS FROM THE CONTENT UNLESS OTHERWISE STATED IN THE AGREEMENT, (ii) MAY NOT USE OR EDIT THE CONTENT TO PROMOTE A COMPETITOR OF PROCTORU, (iii) MAY NOT USE THE PROCTORU LOGO IN ANY MANNER THAT DISPARAGES OR DISCREDITS THE PROCTORU NAME, AND (iv) MAY NOT EDIT ANY PORTION OF THE PROCTORU BRAND MARK.

Entire Agreement

This Agreement constitutes the complete and exclusive agreement between ProctorU and you with respect to the subject matter hereof and supersedes all prior or contemporaneous oral or written communications, proposals, representations, understandings, or agreements not specifically incorporated herein.
